Adept trained agents to use software. In June 2024 Amazon hired David Luan and the co-founders onto Rohit Prasad’s AGI team and licensed the models. The rump company was told it would keep operating. Semafor later sat the missing column: investors were paid back.

What broke

  1. 01 · The market next door

    Adept sat in the same year Microsoft took Inflection’s founders and Google sat Character. The independent agent lab was a recruiting pipeline with a cap table. Amazon needed multimodal agents for Alexa’s successor. It did not need a second logo.

    Amazon kept the founders. Adept kept a name.

  2. 02 · The structure

    Call it a license and the company still exists on paper. Lina Khan’s era made large-scale M&A expensive. The hire-and-license is how a hyperscaler buys a lab without buying a lab. Zak Kukoff named the set on X: Character, Inflection, Adept — acquisitions in all but name.

    The deal was the talent. The license was the receipt.

  3. 03 · What printed

    Prasad’s memo: Luan’s team trains multimodal foundation models and real-world digital agents. That sentence is the product Amazon bought. The leftover Adept was told to focus on “solutions that enable agentic AI.” A company without its founders is a license vehicle.

    The work moved buildings. The equity was made whole.
