Case 03 · Lab
The lead investor took the founders
Inflection raised $1.3 billion in June 2023 to build Pi. Microsoft led the round. Nine months later Microsoft hired Mustafa Suleyman, Karén Simonyan, and most of the staff to run Microsoft AI. Bloomberg: $650 million to license the models and keep the cap table quiet. Pi stayed. The independent lab did not.

The hyperscaler was already on the cap table. Then it was the company.

What broke
01 · The buyer was the backer
Microsoft led the $1.3 billion round. TechCrunch sat it the day of the hire: the lead investor ate the company. A lab whose biggest check is a hyperscaler is a recruiting pipeline with a chatbot attached. Pi had users. Copilot had distribution. Distribution won.
Microsoft kept the founders. Inflection kept a name.
02 · The structure
Satya’s blog: Suleyman is CEO of Microsoft AI. Inflection “continues.” Zak Kukoff on X the next morning: illegal to buy the company, fine to wire the cap table for the talent. The Information broke the $650 million split. FTC later opened a file on the pattern. Same year as Adept and Character.
The license was the receipt. The hire was the deal.
03 · What printed
Inflection said no immediate changes to Pi, then pivoted to an AI studio on Azure. Reid Hoffman stayed. Sean White took the chair. Investors were made whole and kept paper in a company without its lab. A chatbot without the people who trained it is a URL.
The work moved to Copilot. The equity was made whole.

2022
The lab
Suleyman leaves DeepMind. Hoffman joins. The pitch is a personal AI that is not a search box.
Jun 2023
The round
TechCrunch: $1.3 billion. Microsoft leads. Valuation $4 billion. Twenty-two thousand Nvidia chips. Pi is the product.
19 Mar 2024
The memo
Suleyman posts the hire. CEO of Microsoft AI. Simonyan chief scientist. Most of the staff follow. Inflection will “continue” under a new CEO.
21 Mar 2024
The check
Bloomberg: Microsoft pays Inflection $650 million, largely to license the models. Reuters: proceeds reimburse Greylock, Dragoneer, and the rest.
Jun 2024
The watchers
WSJ: US probes the deal. The hire-and-license is now a category. Adept is next. Character after that.

It’s illegal for Microsoft to buy Inflection, but it’s totally fine for Microsoft to send a payment to the entire cap table of a company in exchange for their key talent.

Microsoft is making the Inflection shareholders whole via a licensing deal… and they still keep their shares. This whole thing is a regulation dodge.

Large-scale M&A is dead. Instead: talent heists — acquisitions in all but name. Character (Google). Inflection (Microsoft). Adept (Amazon).
